By engaging our appointment-setting services you agree to be bound by this Agreement. Services We provide outreach, lead qualification, scheduling and calendar management to set appointments on behalf of your business (the “Services”). We will perform the Services in accordance with the scope agreed in writing between us. Client Responsibilities You agree to: Provide accurate, complete information regarding your business, target audience, timing, availability and requirements. Make your team available for the scheduled appointments and follow through with communicated details. Respond in a timely manner to our requests for feedback, rescheduling or cancellation. Comply with applicable laws and regulations in your business operations and use of the Services. Fees & Payment The fees for the Services will be as set out in the signed proposal or engagement letter. Unless otherwise agreed, payment is due [e.g., within 30 days] of invoice. Late payments may incur interest or suspension of services. You are responsible for any applicable taxes. Confidentiality Each party agrees to keep confidential the other party’s non-public business information (“Confidential Information”) and not disclose to any third party except as required by law or with consent. Confidential Information does not include information that is publicly available or lawfully obtained from a third party. On termination or on request, each party will return or destroy the other’s Confidential Information. Data Protection We will maintain appropriate safeguards for any personal data processed in providing the Services, in accordance with our Privacy Policy. You consent to our collection, processing and transfer of such data as necessary for the Services. Intellectual Property All materials we provide (scripts, templates, reports) are our intellectual property unless otherwise agreed in writing. You may use such materials for your internal business purposes only. You will not reproduce, distribute, modify or create derivative works without our written consent. Limitation of Liability To the maximum extent permitted by law, our total liability under this Agreement (whether in contract, tort or otherwise) will be limited to the fees paid by you for the Services in the [e.g., 12 months] preceding the claim. We are not liable for indirect, special, incidental or consequential losses (including loss of profits, business opportunity or goodwill).
